1. Introduction
   Welcome to our Kanegosyo Center (the “Website”), owned and operated by PJ Lhuillier Group of Companies (“us” or “we”), which provides business services and assistance including but not limited to coaching, registration and renewal assistance, loans, insurance, and investments to Micro, Small and Medium Enterprise (MSME) business owners in the Philippines. Please read these Terms of User (Terms) prior to completing the registration for an account in the Kanegosyo Center website. The following Terms shall govern the terms under which you may access and use your account on the Kanegosyo Center website, and the services associated with it (together, “Kanegosyo Services”).

   Please also read our Privacy Policy and Acceptable Use Policy before you use any portion of the Kanegosyo Service. The Privacy Policy describes how your personal data is collected, used and processed when you use the Kanegosyo Service. The Acceptable Use Policy defines the set of rules that you should comply with when using your Kanegosyo account. If you do not understand or do not wish to be bound by the Terms and/or Privacy Policy, you should not access or use any portion of the Kanegosyo Service.

   The Terms shall be effective, valid and binding from the time you agreed to it and will exist up to the time that it is terminated by you or us, save for those provisions that will remain effective after termination as stated in the Terms, laws or regulations.

   Kanegosyo Center reserves the right to modify these Terms at any time without any advance notice. Any changes to these Terms will be effective immediately upon posting on this page, with an updated effective date. By accessing or using the Kanegosyo Center Service after any changes have been made, you signify your agreement on a prospective basis to the modified Terms of Use and all the changes. Be sure to turn to this page periodically to ensure familiarity with most current version of the Terms.

   Any version of these Terms in a language other than English is provided for convenience and you understand and agree that the English language version will control if there is any conflict.

   Under these Terms, the terms “Kanegosyo”, “we”, “us”, and “our” refer to Kanegosyo Center together with its parent company, subsidiaries, employees, directors, affiliates, successor and assigns.
   
   

2. Services
   Our Website provides a platform for Filipinos to access coaching, assistance for registration, permits and the like, as well as various products and services you may need and want to avail for starting and growing your business.
   
   

3. Eligibility
   To use our Website and access our services, you must represent that you are at least eighteen (18) years old or above based in the Philippines and meet certain eligibility criteria, which may include creditworthiness, business stability, and other factors. Further, we reserve the right to reject any application for services at our discretion.
   
   

4. Registration for Kanegosyo Center Account
   • When you accept these Terms, you are setting up your Kanegosyo Center Account that is associated with Kanegosyo Services. You will be asked to provide information such as your complete name, present and/or permanent address, date of birth, nationality, source of funds, photo of yourself and signature. We may verify your registration information through a third-party verification vendor, as we may deem necessary. In some cases, we may ask you to provide additional details or information that can aid in verifying your identity.
   • You agree to provide all necessary information and render all reasonable assistance and cooperation that we may require in order to complete the verification. The information you provide will be used to determine if you are eligible to begin and/or continue to use your Kanegosyo Center Account and associated services. We reserve the right to close, suspend or limit your access to your Kanegosyo Center Account in the event that we are unable to obtain or verify our information. All collection and use of your personal data by us is subject to the Privacy Policy of Kanegosyo Center.
   • You are responsible for providing accurate registration information and for keeping your registration information up to date, or notifying us in the event of changes. In addition, as certain Kanegosyo Services may become available or be offered only on selective basis or promotional basis, supplementary information may be required from your end in order to enable the relevant Kanegosyo Services or open a Kanegosyo Center Account.
     
     

5. User Conduct
   By using our Website, you agree to not engage in any activities that may damage, disable, or impair the Website or the services provided. You also agree to not use the website for any illegal or unauthorized purposes.
   
   

6. Disclaimer of Warranties
   Our Website and services are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that our website or services will be always available, or that they will be error-free.
   
   

7. Limitation of Liability
   In no event shall we, including our directors, officers, representatives, employees, agents or assigns, be liable for any damages, including without limitation, direct, indirect, special, incidental, consequential damages, loss of profits or data, arising out of or in connection with the use or inability to use our website or services.
   
   

8. Privacy Policy
   
   • Data Collection
     Kanegosyo Center shall keep all Kanegosyo Center Account Holder information in strictest confidence. By providing his/her information for the purpose of opening an Account, Kanegosyo Center Account Holder expressly consents to the processing of his/her supplied customer data, as may be applicable. Data belonging to the Account Holder are either Personal Information or Non-Personal Information:

• • Personal Information is any information from which the identity of an individual can be reasonably and directly ascertained, or when put together with other information would directly and certainly identify an individual. It also includes, but is not limited to, data that would help us verify:

1. • 1. 1. Kanegosyo Center Account Holder’s identity such as such as name, gender, date of birth, address, telephone/mobile number, email address, proof of identification, source of income, employment, and other data points whenever applicable;
        2. The location of Kanegosyo Center Account Holder’s device whether desktop, laptop, or mobile devices whenever the Kanegosyo Center Account Holder accesses the Kanegosyo Center website; and
        3. The navigation experience when accessing the Kanegosyo Center website to see activities done in the channels, the pages visited, and the sequence thereof.
   • Use of Kanegosyo Account Holder Data

     Without limiting the generality of the foregoing, the Kanegosyo Center Account Holder consents and authorizes Kanegosyo to process, store, disclose, exchange, and release the said information to its associates, affiliates, subsidiaries, officers, employees, agents, lawyers and other consultants, pre-paid/debit/credit bureaus or any such persons as Kanegosyo deems necessary, or as required by law, rule or regulation, including but not limited to:

1. 1. 1. providing the Kanegosyo Center Account Holder with customer support;
      2. enhancing your customer experience and improve, develop and determine tailored products to meet the Kanegosyo Center Account Holder’s preferences and needs;
      3. communicating relevant products and/or advisories to the Kanegosyo Center Account Holder;
      4. showing you relevant ads on and off our services and measure the effectiveness and reach of ads and service;
      5. Abide by any safety, security, public service or legal requirements and processes; and
      6. processing information for statistical, analytical, and research purposes.
         
         

9. Data Sharing
   You hereby consent to and authorize Kanegosyo, its subsidiaries and affiliates such as, but not limited to, PJ Lhuillier Group of Companies, Cebuana Lhuillier Financing Corp., and/or its third party partners contracted by Kanegosyo for the purpose of conducting its operations, including but not limited to fraud and risk management, sales and marketing activities, communications relating to their products and/or services, product and system development and innovation, customer experience management and improvement, and market research, to collect and process any and all information related thereto from whatever relevant source.

   You hereby consent to and authorize the disclosure of and release by PJ Lhuillier Group of Companies, Cebuana Lhuillier Financing Corp., Kanegosyo Center, and its subsidiaries and affiliates, and Kanegosyo’s third party partners, of any and all information required by PJ Lhuillier Group of Companies, Cebuana Lhuillier Financing Corp., Kanegosyo Center and/or its third party partners such as, but not limited to, the following [i] Data usage records; [ii] Customer relationship management records; [iii] Credit information; [iv] KYC data; [v] Registration data; and [vi] Transaction data.

   The foregoing consents and authorizations shall continue for the duration of, and shall survive the termination of, this Agreement, or any other transactions, dealings, arrangements and accounts which you may have with, or avail from, Kanegosyo.
   
   

10. Venue of Litigation
    Venue of all suits shall either be at Makati City or at any location at the exclusive option of Kanegosyo Center.
    
    
11. Non-Waiver of Rights
    Failure, omission, or delay on the part of Kanegosyo Center to exercise its rights or remedies under these Terms and Conditions shall not operate as a waiver.
    
    
12. Separability Clause
    Should any term or condition in this Agreement be rendered void, illegal or unenforceable in any respect under any law, the validity, legality and enforceability of the remaining terms and conditions shall not be affected or impaired thereby.
    
    
13. Customer Complaints Handling Process
    Kanegosyo Center is committed to maintaining the highest standards of member protection. Your requests, feedback and customer needs are our priority. If you have any concerns about a procedure or have encountered a problem with our service, send us a message through any of our customer services channels for assistance. All information disclosed shall be treated with utmost confidentiality and will be resolved in the most efficient and effective manner.

14. Acceptable Use Policy
    
    • The Kanegosyo Center Account Holder agrees to refrain from doing the following:
      
      • Gain or attempt to gain unauthorized access to any part or feature of the Services or to any other system or network connected to the Services. You also agree not to gather, harvest, or otherwise collect information about others using the Kanegosyo Center Services without their explicit informed consent; nor restrict, prevent or prohibit any other party from using the Kanegosyo Center Services, including but not limited to such actions which may tend to discourage others from using the Kanegosyo Center Services, such as stalking, flaming or the lashing out at other parties, spamming or the sending of unsolicited information, advertisement or content, flooding or the sending of repetitive message, trolling or the use of insulting or deliberately divisive information, material or content, other forms of annoyances, and the like;
      • Circumvent, disable, or otherwise interfere with security-related features of the Kanegosyo Center Services, including those that prevent or restrict use or copying of any content, material or information available on or through the Kanegosyo Center Services, as well as those that enforce limitations on the use of the Kanegosyo Center Services;
      • Probe, scan or test the vulnerability of the Kanegosyo Center Services or any network connected to it, and not to breach the security or authentication measures on the same. You agree not to reverse look-up, trace or seek to trace any information on any user of or visitor to the Kanegosyo Center website, or any other customer of Kanegosyo Center including any account maintained with the Kanegosyo Center Services not owned by you, to its source, or exploit the Kanegosyo Center Services or any information made available or offered by or through the Kanegosyo Center Services, in any way where the purpose is to reveal any information, including but not limited to personal identification, other than your own information;
      • Agree not to copy or download any material or content from or through the Kanegosyo Center Services unless such copying or downloading is explicitly allowed by a visible manifestation thereof such as a “download” button or a similar link ostensibly displayed. You further agree not to engage or attempt to engage in the use, copying, transmission, broadcast, display, distribution or sale of any of the contents, material or information available on or through the Kanegosyo Center Services, including user comments and the like, other than as expressly permitted herein, or as explicitly indicated in the Kanegosyo Center Services, including use thereof for commercial purposes;
      • Take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Kanegosyo Center Services or its systems or networks, or any systems or networks connected to the Kanegosyo Center Services;
      • Use any device or routine to interfere or attempt to interfere with the proper working of the Kanegosyo Center Services or any transaction being conducted using the Kanegosyo Center Services, or with any other person’s use of the Kanegosyo Center Services. You agree that you will not engage in any activity that interferes with or disrupts the Kanegosyo Center Services or the servers and networks which are connected to the Kanegosyo Center Services;
      • Use the Kanegosyo Center Services for any purpose that is illegal, unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity or other activity which infringes on the rights of Kanegosyo Center or others. You further agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on any content, material or information, either in whole or in part, available on or through the Services, unless you have been specifically permitted to do so by Kanegosyo Center or by the owner of that content, material or information in a separate agreement.

15. Third Party Content & Services
    1. The Kanegosyo Center Service contains content provided by third party services and resources. You acknowledge and agree that we are not responsible or liable for: the availability or accuracy, appropriateness, completeness or non-infringement of such Third- Party Services; or the content, products, or services available on or through such Third-Party Services. Unless specified by us, the availability of such Third-Party services does not imply any endorsement by us of such Third-Party services or the content, products, or services available therefrom.
    2. You may not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the application and the services or in any Third-Party Services.
    3. Kanegosyo Center makes no representation or warranties whatsoever about any service, content and / or any other resources provided by the Third Party.
       
       
16. Reserved Rights
    Kanegosyo Center reserves, at our sole discretion but without obligation, the right to:
    • Deny access to and / or discontinue the Kanegosyo Center Services or any component thereof to anyone at any time, temporarily or permanently, without giving any reason and/or prior notice to you. You hereby irrevocably agree, affirm and warrant to hold Kanegosyo Center free from any liability, both under equity and the law, arising or that may arise out of any such denial of access to or the discontinuance of the Kanegosyo Center Services;
    • Collect, screen, review, flag, filter, modify, block, refuse or remove any and/or all information provided by any user, explicitly or implicitly to and through the Kanegosyo Center Services, including but not limited to hardware information, IP address, browser-type related information, cookies and the like. You hereby irrevocably agree, affirm and warrant to hold Kanegosyo Center free from any liability, both under equity and the law, arising or that may arise out of any such collection, screening, review, flagging, filtering, modification, blocking, refusal or removal of any and/or all information provided by any user to and through the Kanegosyo Center Services;
    • Enhance, improve, develop and introduce new features and functionalities to the Kanegosyo Center Services at any time and without prior notice. You hereby understand, agree, and affirm that any such enhancement, improvement, development, new feature and/or new functionality to the Kanegosyo Center Services shall form part of the Kanegosyo Center Services as defined herein and thus shall likewise be covered by these Terms and its subsequent revisions or amendments, as applicable;
    • Verify, check, cross-refer, validate, and ascertain the veracity and truthfulness of all information supplied by you by acquiring, accessing, retrieving, or otherwise acquiring similar or additional information supplied by you to other third-party service providers, including, but not limited to telecommunications providers, etc. You hereby expressly, unequivocally, and voluntarily allow Kanegosyo Center to request for and secure such information, and expressly, unequivocally, and voluntarily instruct such third-party providers to: (a) receive and process Kanegosyo Center’s request; (b) favorably act at all times on any such request by producing the information requested; and (c) when requested by Kanegosyo Center, provide the latter with certified digital or printed copies of the said information;
    • Send you or cause to send you service updates and/or messages, including SMS, notifications, email and/or any data message transmission, informing you of enhancements, improvements, developments, features, functionalities, products, promotions, offers, advertisement and/or any other information relative to the Kanegosyo Center Service. Kanegosyo Center makes no warranty of any kind, express or implied, for such service updates and/or messages, but you hereby agree to receive such service updates and/or messages and hold Kanegosyo Center free from any liability and/or claims for indemnification or damages that may arise therefrom;
    • Set limitations to and charge fees and applicable taxes for the use of the Kanegosyo Center Services, at any time and without prior notice. You further understand and agree that Kanegosyo Center reserves the right, at its sole discretion and under no obligation, to change the applicable fees, taxes and charges levied for the use of the Services, at any time and with prior written notice to you thirty (30) days prior to effective date of change in fees / charges /penalties;
    • To limit the provision, availability, quantity and quality of any feature, product or service to any person or to anyone within the same geographic area, demographic profile, or any other market, commercial, and/or trading segments. You likewise understand and agree that Kanegosyo Center reserves the right, at its sole discretion but without obligation, to administer and operate any and/or all of the Kanegosyo Center Services from any or various locations outside the Republic of the Philippines. You hereby understand, agree, and undertake sole responsibility for your continued access to or use of the Kanegosyo Center Services, as well as the results or consequences of such access and use, including the responsibility for compliance with applicable local laws and the sole liability for non-compliance or breach thereof.

17. Modification of Terms
    We reserve the right to modify these terms and conditions at any time, and your continued use of our website following any changes indicates your acceptance of the new terms.
    
    
18. Governing Law
    These terms and conditions shall be governed by and construed in accordance with the laws of the Philippines. Any disputes arising from or related to these terms and conditions, or our website and services shall be resolved in accordance with the laws of the Philippines.
    
    

    By registering to Kanegosyo Center and or using the Kanegosyo Center account, you confirm to have read and understood, and accept and agree to be legally bound by the foregoing Terms, Privacy Policy and Acceptable Use Policy. By accepting these Terms, Privacy Policy and Acceptable Use Policy, you signify you express consent in accordance with Republic Act No. 10173, otherwise known as the Data Privacy Act of 2012 and its implementing Rules and Regulations. Further, by registering to Ka Negosyo Center and or using the Ka Negosyo Center account, you agree to hold us, our directors, officers, stockholders, representatives, employees, and agents free and harmless from any and all liabilities, damages, actions, claims in connection with the implementation, collection, use, processing, recording or disclosure of information in relation to your consent or authorization under the foregoing Terms, Privacy Policy and Acceptable Use Policy.
